Terms of Service

Important — Read carefully before using Prescope™. By accessing or using this Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms include a mandatory arbitration clause, class action waiver, and significant limitations on liability for AI-generated content.

1Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prescope LLC ("Company," "we," "us," or "our"), a New York limited liability company. These Terms govern your access to and use of the Prescope™ software application, website at prescopesolutions.com, APIs, and all related services (collectively, the "Service").

By clicking "I Agree," "Sign In," "Continue with Google," or any similar button, by accessing or using the Service in any manner, or by subscribing to any paid plan, you: (a) confirm that you have read, understood, and agree to be bound by these Terms; (b) confirm that you are at least 18 years of age and have legal capacity to enter into a binding contract; and (c) if using the Service on behalf of an organization, confirm that you have authority to bind that organization to these Terms.

The Company reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date or by sending notice to your registered email. Continued use of the Service following notice constitutes your acceptance of the revised Terms.

2Description of Service

2.1 Nature of Service

Prescope™ is an artificial intelligence-powered Software as a Service (SaaS) platform that uses large language model (LLM) technology, specifically the Anthropic Claude API, to assist users in classifying, decomposing, and structuring business and project requirements. The Service is designed as a productivity and assistance tool for business analysts, product owners, product managers, and project managers. The Service is not intended to replace professional judgment.

2.2 AI-Powered Nature

The Service generates all outputs using artificial intelligence. These outputs are probabilistic in nature — the same input may produce different outputs at different times. AI-generated content reflects statistical patterns in training data, not verified professional expertise. The Company does not guarantee accuracy, completeness, fitness for purpose, or professional adequacy of any AI-generated output.

2.3 Supported Domains

The Service provides domain-specific context for four industry verticals: ITSM/Observability, SaaS/Software Products, Retail/eCommerce, and Healthcare IT. Domain context is embedded in the AI prompting layer and does not constitute professional advice, regulatory guidance, or compliance certification for any specific industry.

2.4 Third-Party AI Infrastructure

The Service relies on the Anthropic Claude API as its underlying AI model. The Company: (a) does not control Anthropic's models, training data, or output behavior; (b) is not responsible for changes Anthropic makes to its models that affect output quality or behavior; (c) cannot guarantee that Anthropic's API will remain available or unchanged; and (d) is subject to Anthropic's acceptable use policies, which are incorporated by reference.

2.5 Service Availability

The Company does not guarantee continuous, uninterrupted, or error-free access to the Service. Downtime may result from scheduled maintenance, Anthropic API outages, Vercel hosting disruptions, Clerk authentication service interruptions, Stripe payment processing issues, or other factors outside the Company's reasonable control.

3User Accounts, Plans, and Access

3.1 Account Registration

You may sign up using Google Sign-In via Clerk authentication. By creating an account, you represent that all information provided is accurate and current. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Free Tier

The free tier provides two (2) AI generations per calendar month, requires Google Sign-In, and includes access to all four domain contexts and the classification engine. Markdown export is included. Process flow generation, Word (.docx) export, full BA Toolkit, and session history are not available on the free tier. The Company reserves the right to modify or discontinue the free tier at any time.

3.3 Monthly Subscription

The monthly paid subscription ($19.00 USD per month) provides unlimited AI generations and full access to all features including process flow diagrams, Word export, full Agile BA Toolkit, and session history. Subscriptions are billed in advance on a monthly recurring basis through Stripe.

3.4 Annual Subscription

The annual paid subscription ($190.00 USD per year) provides all benefits of the monthly subscription at a reduced annual rate. Subscriptions are billed in advance for the full annual period through Stripe.

3.5 Payment Terms

All fees are charged in advance, are non-refundable except as set forth in the Refund Policy, and are processed by Stripe Inc. By subscribing, you authorize Stripe to charge your payment method on a recurring basis. You are responsible for all applicable taxes.

3.6 Cancellation

You may cancel your subscription at any time through your Stripe billing portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods except as required by applicable law or as stated in the Refund Policy.

4Artificial Intelligence Output — Critical Disclaimers

The outputs generated by Prescope™ are produced by artificial intelligence and must be reviewed, validated, and approved by a qualified human professional before use in any business, organizational, or professional context. AI outputs are inherently probabilistic and may contain errors, omissions, or inaccuracies.

4.1 No Professional Advice

Prescope™ does not provide and shall not be construed as providing legal, financial, accounting, medical, regulatory, compliance, or any other professional advice. All outputs are for general productivity assistance only. Consult a qualified professional before relying on any AI-generated output for professional, legal, financial, or regulatory purposes.

4.2 User Responsibility for Output Validation

In accordance with 2026 industry best practices for AI SaaS products, you are solely and exclusively responsible for: (a) reviewing, evaluating, and validating all AI-generated outputs before use; (b) determining whether outputs are accurate, appropriate, or fit for your intended purpose; (c) obtaining required professional review before implementation; (d) all consequences arising from your use of, reliance on, or implementation of AI-generated outputs; and (e) verifying that outputs do not infringe third-party intellectual property rights.

4.3 AI Hallucination and Inaccuracy

AI systems, including those underlying Prescope™, may "hallucinate" — generating plausible-sounding but factually incorrect, inconsistent, or fabricated content. The Company does not warrant that any output is factually accurate, that it reflects real industry standards, or that it is appropriate for your specific context. You must independently verify all factual claims in AI-generated outputs.

4.4 Third-Party AI Model Changes

The Anthropic Claude AI models used by the Service may be updated, changed, or discontinued by Anthropic at any time. Model changes may result in materially different outputs for identical inputs. The Company is not responsible for any changes in output quality, consistency, style, or accuracy resulting from Anthropic model changes.

4.5 Data Input Responsibility

You represent and warrant that inputs you submit to the Service do not contain: (a) protected health information subject to HIPAA; (b) personal data without appropriate legal basis for processing; (c) confidential information subject to non-disclosure obligations without authorization; (d) third-party intellectual property without permission; or (e) content that violates applicable law.

4.6 EU AI Act Compliance Notice

If you access the Service from within the European Union or European Economic Area, you acknowledge that the Service uses generative AI technology. Consistent with EU AI Act transparency requirements effective 2025–2026: (a) Prescope™ outputs are generated by artificial intelligence; (b) human review of all outputs is required before reliance; and (c) the underlying AI model is provided by Anthropic PBC, a third party.

4.7 FTC Disclosure

In accordance with FTC guidance on AI-generated content, the Company discloses that all work artifacts, user stories, process flows, and other content produced by the Service are generated by artificial intelligence, not by human writers or consultants.

5Service Comparison and Competitive Positioning

The Company identifies the following products as operating in a similar market segment: ChatPRD (AI product requirements), Notion AI (AI workspace assistance), Jasper AI (AI content generation), GitHub Copilot (AI coding), Aha! (product roadmap), Productboard (product management), and Airfocus (prioritization). Prescope™ is distinct in its classify-first progressive decomposition methodology, domain-specific context for ITSM/SaaS/Retail/Healthcare, and integrated process flow generation. Comparative claims are made in good faith based on publicly available product information as of the date of these Terms.

6Third-Party Services and Integrations

6.1 Third-Party Services Generally

The Service integrates with or depends upon third-party services including: Anthropic (AI infrastructure), Clerk (authentication), Stripe (payment processing), Vercel (hosting and serverless functions), and Porkbun (domain registration). Your use of these third-party services is governed by their respective terms of service and privacy policies.

6.2 No Liability for Third-Party Services

The Company expressly disclaims all liability for: (a) the availability, performance, accuracy, or reliability of any third-party service; (b) data loss or security breaches arising from third-party services; (c) changes to third-party services that affect Service functionality; (d) fees or obligations incurred through third-party services; and (e) Anthropic API outages, model changes, or policy changes that affect the Service.

6.3 Enterprise and Multi-Organization Use

If you use the Service within or on behalf of multiple organizations, clients, or third-party companies ("Multi-Organization Use"), you acknowledge that: (a) you are solely responsible for ensuring compliance with these Terms for all such use; (b) you have obtained all necessary authorizations to process your clients' information through the Service; (c) you assume all liability for any harm arising from Multi-Organization Use; and (d) liability limitations apply in the aggregate across all use cases.

6.4 Consulting Use

If you are a consultant, contractor, or professional services provider using the Service on behalf of clients, you represent that: (a) you have disclosed your use of AI-powered tools to your clients as required by applicable professional ethics rules; (b) you are responsible for all outputs delivered to clients derived from the Service; and (c) the Company bears no liability for any claims made by your clients arising from Service outputs.

6.5 No Sensitive Data

You agree not to submit to the Service any: (a) protected health information (PHI) as defined under HIPAA; (b) payment card information; (c) social security numbers or government identification numbers; (d) financial account credentials; or (e) sensitive personal information subject to heightened regulatory protection.

7Intellectual Property

7.1 Company IP

All right, title, and interest in and to the Service, including all software, algorithms, interfaces, designs, documentation, and trademarks (including "PRESCOPE™," USPTO Class 042), are and shall remain the exclusive property of the Company and its licensors.

7.2 License to Use

Subject to compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or personal productivity purposes.

7.3 AI-Generated Outputs

AI-generated outputs produced through your use of the Service ("Outputs") are provided for your use. You acknowledge that: (a) Outputs may be similar or identical to outputs generated for other users; (b) the Company makes no representation regarding the intellectual property status of Outputs; (c) you are solely responsible for verifying that Outputs do not infringe third-party IP rights; and (d) the Company reserves the right to use anonymized, aggregated data derived from Service use to improve the Service, subject to the Privacy Policy.

7.4 Your Content

You retain ownership of inputs you submit to the Service. By submitting inputs, you grant the Company a worldwide, royalty-free, non-exclusive license to process, store, and use your inputs solely to provide the Service to you.

7.5 Restrictions

You shall not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer or decompile the Service; (c) use the Service to develop a competing product; (d) remove proprietary notices; or (e) use the Company's trademarks without prior written consent.

8Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, agents, licensors, and service providers expressly disclaim all warranties including: (a) implied warranties of merchantability, fitness for a particular purpose, or non-infringement; (b) warranties that the Service will be uninterrupted, error-free, or secure; (c) warranties regarding the accuracy, reliability, or completeness of any AI-generated output; (d) warranties that AI outputs are fit for use in any specific industry, regulated environment, or professional context; (e) warranties regarding Anthropic API performance or availability; and (f) warranties arising from course of dealing or usage of trade.

AI Output Specific Disclaimer: The Company makes no warranty that AI-generated work artifacts, user stories, process flows, business rules, or any other output is accurate, complete, professionally adequate, compliant with applicable industry standards, or fit for implementation without human review and validation.

9Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company Parties be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, cost of substitute services, or business interruption, arising out of or in connection with these Terms or the Service, regardless of the theory of liability, even if the Company has been advised of the possibility of such damages.

9.1 Aggregate Liability Cap

The Company's total aggregate liability to you for all claims shall not exceed the greater of: (a) the total amount you paid to the Company during the twelve (12) months immediately preceding the claim; or (b) one hundred United States dollars ($100.00).

9.2 AI-Specific Liability Limitation

The Company expressly disclaims all liability for: (a) business decisions made in reliance on AI-generated outputs without independent verification; (b) inaccurate, incomplete, or hallucinated AI outputs; (c) implementation of AI-generated work artifacts that cause project failures, delivery delays, or stakeholder disputes; (d) outputs that infringe third-party intellectual property; (e) outputs that fail to comply with applicable industry standards or regulations; and (f) changes to Anthropic AI models that affect output quality.

9.3 Multi-Organization Liability Cap

The aggregate liability cap applies across all organizations, clients, and use cases for users utilizing the Service on behalf of multiple clients or organizations.

9.4 Comparable Product Standard

The liability limitations in this Section reflect industry standard terms for AI-powered SaaS products, consistent with the terms of service of comparable products including ChatPRD, Notion AI, Jasper AI, and OpenAI ChatGPT. These limitations are an essential element of the basis of the bargain between the parties.

10Indemnification

You agree to defend, indemnify, and hold harmless the Company Parties from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of applicable law; (d) your use or implementation of any AI-generated Output; (e) claims by your clients or employer arising from your use of the Service; (f) Multi-Organization Use; (g) your use of the Service in connection with regulated industries (HIPAA, FINRA, SEC, healthcare, federal government); or (h) your submission of inputs that infringe third-party rights.

11Acceptable Use and Prohibited Conduct

You agree not to use the Service to:

  • Generate content intended to mislead, defraud, or cause harm to any person or entity
  • Process personal data without appropriate legal basis under CCPA, GDPR, or applicable privacy law
  • Submit protected health information, payment card data, or government identification numbers
  • Circumvent usage limits, rate limits, or free tier restrictions
  • Reverse engineer, scrape, or extract the Service's AI prompting logic or system instructions
  • Develop a competitive product or service using knowledge gained from using the Service
  • Use the Service in nuclear, biological, chemical, or radiological applications
  • Violate any applicable law or third-party rights

12Data, Privacy, and Security

12.1 Privacy Policy

Your use of the Service is governed by the Company's Privacy Policy at prescopesolutions.com/privacy, incorporated herein by reference.

12.2 AI Data Processing Disclosure

When you submit inputs to the Service, those inputs are transmitted to Anthropic's API for processing. The Company does not store your raw inputs beyond what is necessary to provide the Service. Anthropic's data handling practices are governed by Anthropic's privacy policy. The Company does not use your inputs to train AI models.

12.3 CCPA/CPRA Compliance

California residents have rights under the California Consumer Privacy Act (CCPA) as amended by the CPRA, including the right to know, delete, and opt-out of sale of personal information. The Company does not sell personal information. To exercise your CCPA rights, contact info@prescopesolutions.com.

12.4 EU AI Act and GDPR

If you access the Service from the European Union or EEA, you acknowledge that the Company complies with applicable EU AI Act transparency requirements and processes personal data under GDPR where applicable. The Service uses AI-generated outputs that require human review before implementation, consistent with EU AI Act human oversight requirements.

12.5 Security

The Company implements commercially reasonable security measures. However, no security system is impenetrable. You assume the risk of unauthorized access to your account or data and should not submit highly sensitive information to the Service.

13Dispute Resolution, Arbitration, and Class Action Waiver

⚠️ Mandatory Arbitration and Class Action Waiver

This Section contains a mandatory individual arbitration clause and class action waiver. It materially affects your legal rights. Please read it carefully.

13.1 Informal Resolution

Before initiating formal dispute resolution, contact the Company at info@prescopesolutions.com with a written description of the dispute. The parties will attempt to resolve the dispute informally for thirty (30) days.

13.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in Orange County, New York, or remotely by agreement. The arbitrator's decision shall be final and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

You waive your right to participate in a class action lawsuit or class-wide arbitration. All disputes shall be resolved on an individual basis only.

13.4 Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the courts of Orange County, New York.

13.5 One-Year Limitation

Any claim must be brought within one (1) year after the cause of action accrues. Claims not brought within this period are permanently barred.

14Force Majeure

The Company shall not be liable for failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, power failures, internet outages, third-party AI provider outages or policy changes (including Anthropic API unavailability), cyberattacks, or government action.

15General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company and supersede all prior agreements.

15.2 Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

15.3 No Waiver

Failure to enforce any provision shall not be deemed a waiver of that provision.

15.4 Assignment

You may not assign these Terms without the Company's prior written consent. The Company may assign these Terms freely, including in connection with a merger, acquisition, or Holding Company Transfer.

15.5 Electronic Agreement

Your electronic acceptance of these Terms has the same legal effect as a handwritten signature.

15.7 Quarterly Review

Consistent with 2026 AI SaaS industry best practices, the Company reviews and updates these Terms at least quarterly to reflect regulatory changes including EU AI Act requirements, FTC guidance on AI disclosure, CCPA/CPRA updates, and changes to third-party AI provider policies.
